On December 17, 2012 the Law of Ukraine ‘’On some amendments to some legislative acts of Ukraine concerning state registration of foreign investment’’ dated May 24, 2012 № 4835-VI (hereinafter – the Law) came into force.

The Law has amended article 395 of the Commercial Code of Ukraine and article 13 the Law of Ukraine ‘’On foreign investment’’.

New document determines time limit to investors for filing documents for such operations as:

-              State registration of foreign investments;

-              Re-registration changing owners of foreign investments;

-              Cancellation of state registration in the event of repatriation of foreign investments;

Foreign investors shall file documents to the registration authorities within 7 days after the actual realization of operation with investments.

Re-registration shall be used if investor sold or otherwise transferred corporate rights of Ukrainian company to another non-resident individual.

The state registration authorities are the Council of Ministers of the Autonomous Republic of Crimea, regional, Kyiv and Sevastopol state administrations in the order determined by the Cabinet of Ministers of Ukraine.
